2. Scope and Acceptance

These Terms of Service ("Terms") govern the access to and use of the eStela platform, accessible at https://estela.co and through our mobile applications for iOS and Android (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree with any of these Terms, you must refrain from using the Service. Continued use of the Service constitutes acceptance of the Terms in effect at any given time.

3. Description of the Service

eStela is a Software as a Service (SaaS) platform for real-time GPS tracking, analysis, and management of sailing regattas and nautical events. The Service includes, among others:

• Real-time GPS tracking of boats during regattas.
• Race course management and buoy placement tools.
• Performance statistics and advanced analytics.
• Organisation and fleet management tools for clubs.
• Public and private live streaming of race events.

4. Registration and User Accounts

To access certain features of the Service, you must register an account. There are two types of accounts: organisation administrator accounts (registered via the administration portal) and sailor accounts (registered via the tracking portal).

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must immediately notify eStela of any unauthorised use of your account.

You warrant that all information provided during registration is accurate, current, and complete, and you agree to keep it updated.

5. Subscriptions and Payments

Access to certain features of the Service requires a paid subscription. Subscriptions are contracted and paid for by organisations (clubs or event organisers) on behalf of their participants.

Payments are processed securely through Stripe, Inc. eStela does not store credit card numbers or sensitive payment details on its own servers.

Subscription plans, pricing, and conditions are detailed at the time of purchase. eStela reserves the right to modify pricing with reasonable prior notice.

6. Use License

eStela grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. Under this license you may not:

1. Modify, copy, or create derivative works based on the Service or its content.
2. Use the Service for any commercial purpose other than the management and tracking of your own nautical events.
3. Attempt to decompile, reverse engineer, or disassemble any software component of the Service.
4. Remove any copyright, trademark, or other proprietary notices from the Service.
5. Transfer, sublicense, or make the Service available to third parties except as expressly permitted.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by eStela at any time.

7. Intellectual Property

The eStela platform, including but not limited to its software, design, logos, trademarks, text, graphics, and all underlying technology, is the exclusive property of Javier Vidal Peña or its licensors and is protected by applicable intellectual property laws.

No provision of these Terms grants you any ownership right or interest in the Service beyond the limited use license described herein.

The materials and contents displayed on the Service are protected by applicable copyright and trademark law.

8. Data Ownership and Usage

All data generated through the use of the Service, including but not limited to race tracks, GPS trajectories, results, and statistical analyses, is the property of eStela.

eStela may use anonymised and aggregated data derived from the Service to improve the platform and to produce public statistics. This data will never be used for marketing purposes nor sold to third parties.

9. Service Availability

The Service is provided on an "as is" and "as available" basis. eStela does not guarantee any specific level of availability, uptime, or uninterrupted access to the Service.

eStela reserves the right to suspend, modify, or discontinue the Service (or any part of it), temporarily or permanently, with or without notice, for maintenance, updates, or any other reason.

10. Disclaimer of Warranties

The Service is provided without warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

eStela does not warrant the accuracy, completeness, or reliability of any data, results, or content generated by or displayed through the Service. GPS tracking data is subject to inherent technological limitations and external factors that may affect its precision.

11. Limitation of Liability

To the fullest extent permitted by applicable law, eStela and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation damages for loss of profits, data, or business opportunities, arising out of or in connection with the use or inability to use the Service, even if eStela has been advised of the possibility of such damages.

12. Account Cancellation and Data Retention

You may cancel your account at any time through the administration portal. Cancellation of a paid subscription takes effect at the end of the current billing period.

Upon subscription cancellation, your data will be retained and accessible in a read-only capacity. Data associated with inactive accounts will be permanently deleted after five (5) years of inactivity.

eStela reserves the right to suspend or terminate accounts that violate these Terms, without prior notice.

13. Third-Party Links

The Service may contain links to third-party websites or services. eStela has not reviewed all linked sites and is not responsible for the content, privacy practices, or availability of any third-party sites. The inclusion of any link does not imply endorsement by eStela.

14. Modifications to these Terms

eStela reserves the right to modify these Terms at any time. Changes will be published on this page with an updated effective date.

Continued use of the Service after the publication of modified Terms constitutes acceptance of such changes. For material changes, eStela will make reasonable efforts to notify users through the platform.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Spain, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to binding arbitration administered in accordance with the rules of the Spanish Court of Arbitration (Corte Española de Arbitraje). The seat of arbitration shall be Madrid, Spain. The language of the proceedings shall be Spanish.
